Noun Phrase or Active Verb sentence

Please, is the following sentence a noun phrase or an active verb sentence.

The funds raised to help the poor.

Breakdown:

the Funds = Subject

raised = Simple Past tense of a verb (raise)

to help = to infinite of "to help"

the poor = object complement of "to help"

So based on my analysis, it is a active verb sentence, but my friend told me the whole sentence is noun phrase? Please advice Thanks.

'The funds raised to help the poor'.

It is a clearly a noun phrase since funds cannot perform the action of raising! So it is not a sentence.

The analysis is:

Head: 'the funds'.
Modifying clause: 'raised to help the poor'.
Embedded Complement clause: 'to help the poor'.
